1 Acceptance & Definitions

This document (the "Terms" or "Agreement") constitutes a legally binding End User License Agreement (EULA) between you (the "User") and the developer of the Xeer application ("Xeer", "we", "the Company"). By downloading, installing, accessing, or using the Xeer app in any way, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree to any part of these Terms, you must not download or use the app.

This document is read together with Xeer's Privacy Policy, Data Protection, and Sharia Compliance Policy, which is incorporated into these Terms by reference.

2 License Grant & Restrictions

Xeer grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the app on any device you own or control, solely for your own personal, non-commercial purposes, and subject to the usage terms of the app store through which you obtained the app.

Restrictions

• You may not copy, modify, or create derivative works of the app
• You may not reverse-engineer, decompile, or attempt to extract the source code of the app, except to the extent expressly permitted by law
• You may not rent, lease, sell, redistribute, or sublicense the app to any third party
• You may not remove or obscure any proprietary notices or trademarks displayed within the app

Xeer reserves all rights not expressly granted to you under these Terms.

3 Eligibility & Account

By using the app, you represent that you have the full legal capacity to enter into this Agreement under the laws applicable in your country of residence. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, and must notify us promptly of any unauthorized use of your account.

4 Rules of Use

User Conduct Rules

• Providing accurate and up-to-date information when setting up your profile
• Refraining from abusive, harassing, or discriminatory behavior towards other users
• Respecting the privacy and data rights of others when interacting with others is applicable
• Promptly reporting any suspected security breaches or unauthorized access to your or others' data within Xeer

Acceptable Uses

• Using the app to securely manage your personal financial accounts, transactions, and data
• Accessing financial planning tools, budgeting features, and spending analysis
• Connecting third-party financial accounts and services to Xeer
• Utilizing the app's predictive analytics and scenario planning capabilities

Prohibited Uses

• Using the app for any illegal activities such as fraud, money laundering, or financing of terrorism
• Attempting to access or manipulate the personal or financial data of other users without permission
• Reselling or redistributing the app's content, features, or functionality
• Violating applicable laws, standards, regulations, or third-party rights through Xeer's use
• Interfering with or disrupting Xeer's servers, networks, or its other infrastructure components

5 Subscriptions & Billing

Xeer offers optional auto-renewable subscription tiers (monthly, quarterly, or annual) that unlock features beyond the free tier. All payment, billing, auto-renewal, and cancellation are handled exclusively through your App Store or Google Play account, and your subscription renews automatically unless cancelled at least 24 hours before the end of the current period.

6 Intellectual Property

The app, including without limitation its design, source code, logo, trademarks, and provided content (excluding data you input), is the exclusive property of Xeer or its licensors and is protected by applicable intellectual property laws. Your use of the app does not grant you any ownership right in it, other than the limited license described in Section 2 above.

7 Disclaimer of Warranty & Limitation of Liability

The information, calculations, and financial tools presented within Xeer are not intended to constitute binding financial, investment, tax, legal, or Sharia advice, and are approximate, aiding tools only, as further described in the Sharia Compliance Policy.

To the maximum extent permitted by applicable law, Xeer, its directors, employees, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of or related to your use of, or inability to use, the app, even if advised of the possibility of such damages. In all cases, Xeer's total aggregate liability for any claims shall not exceed the amount you actually paid (if any) for your subscription during the twelve months preceding the claim.

8 Termination & Freezing

Freezing

We provide the ability to freeze your account for 30 days. During this period, your account data will not be accessible, and will not be used by Xeer in any marketing activities.

Following the freezing period, we will notify you. However, if you choose to freeze your account and do not log in after the specified freezing period has elapsed, your account will be permanently terminated after one year. On termination, your User Profile Data and Financial Data are wiped; Essential Account Data (email, phone number, and trial/subscription history) is retained for up to 1 year from termination, then permanently deleted.

Account Termination & Data Deletion

You have the right to request the deletion of your account and data from our database. Following the termination period, your User Profile Data and Financial Data are permanently wiped. Essential Account Data (email, phone number, and trial/subscription history) is retained for up to 1 year for fraud-prevention and legal purposes, as detailed in the User Data Categories section. The process goes through three phases:

Forced Termination & Suspension: The Xeer team reserves the right to terminate or suspend any user account if any prohibited, illegal, or user-conduct-violating activity, as described in Section 4, is observed.

9 Apple App Store Terms

If you downloaded the app via the App Store, you acknowledge and agree to the following additional terms, which Apple requires app developers to include:

• This Agreement is concluded between you and Xeer only, not with Apple, and Apple is not a party to it and bears no responsibility for the app or its content.
• Apple has no obligation whatsoever to furnish any maintenance or support services for the app. Any such support is Xeer's sole responsibility.
• In the event of any failure of the app to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) paid for the app to you; to the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the app.
• Apple is not responsible for addressing any claims by you or any third party relating to the app, including product liability claims, any claim that the app fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection or similar legislation.
• In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Xeer, and not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• You must comply with any applicable third-party agreements when using the app (such as your wireless data service agreement).
• Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of these Terms, Apple has the right to enforce these Terms against you as a third-party beneficiary.

10 Governing Law & Contact

These Terms are governed by and construed in accordance with the laws of England and Wales, and are issued by XEER FINANCIAL TECHNOLOGIES LTD, registered at 20-22 Wenlock Road, London N1 7GU, United Kingdom (company registered in England and Wales), without regard to its conflict of law provisions, and except as expressly overridden by Apple's terms in Section 9 above.

11 Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices or for operational, legal, or regulatory reasons. We will notify you of any material changes, and your continued use of the app after such changes take effect constitutes your acceptance of them.
